Welcome to the website and online services of BlueMarble Weather LLC ("BlueMarble," "we," "us," or "our"), an Illinois limited liability company headquartered at the University of Illinois Research Park, Champaign, Illinois. These Terms of Service ("Terms") govern your access to and use of the BlueMarble Weather website, the Microclimate WX platform, associated mobile applications, APIs, data feeds, and any related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Services. If you are using the Services on behalf of a business, cooperative, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
"Authorized User" means any individual who is granted access to the Services under your account, including farm operators, agronomists, cooperative staff, and designated third parties.
"Customer Data" means all data, files, information, and content uploaded, transmitted, or otherwise provided by you or your Authorized Users through the Services, including but not limited to farm operational records, precision agriculture datasets, yield maps, input records, and equipment telemetry.
"Environmental Data" means data collected through BlueMarble's IoT sensor networks, including temperature, humidity, precipitation, wind, barometric pressure, solar radiation, soil moisture, and related microclimate measurements.
"Platform" means the Microclimate WX software platform, including the web dashboard, analytics engine, API endpoints, mobile applications, and all associated data processing infrastructure.
"Subscription" means the paid service plan selected by you, which determines the scope of features, analytics, API access, and support available through the Platform.
To use certain features of the Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:
BlueMarble reserves the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period, with reasonable notice where practicable.
BlueMarble provides precision agriculture weather intelligence through a combination of IoT sensor networks, AI-powered weather models (including integrations with Microsoft Aurora and NVIDIA Earth-2), equipment data connectors, and analytics dashboards. The specific features available to you depend on your Subscription tier and any additional service agreements.
Certain Services require a paid Subscription. By selecting a Subscription, you agree to pay all applicable fees as described at the time of purchase or renewal. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected) unless otherwise specified in a separate agreement.
BlueMarble reserves the right to modify pricing with at least thirty (30) days' written notice prior to the start of your next billing cycle. Continued use of the Services after a pricing change constitutes acceptance of the updated fees.
If you purchase sensor hardware or related equipment from BlueMarble, such purchases are governed by the applicable hardware purchase agreement, warranty terms, and return policies provided at the time of sale. Hardware purchases are separate from and in addition to Subscription fees.
BlueMarble may offer free trials, beta features, or pilot program access from time to time. These are provided "AS IS" without warranty. BlueMarble may discontinue or modify trial and beta Services at any time without liability.
You retain all ownership rights in your Customer Data. BlueMarble does not claim ownership of any Customer Data you provide through the Services. Our farmer-first data governance philosophy means your data remains yours—we do not sell, license, or otherwise transfer your Customer Data to third parties for their independent use without your explicit consent.
By using the Services, you grant BlueMarble a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your Customer Data solely for the purposes of providing and improving the Services, generating anonymized and aggregated insights, and fulfilling our obligations under these Terms. This license terminates when you delete your Customer Data or close your account, except as required for backup, archival, or legal compliance purposes.
BlueMarble may create anonymized and aggregated datasets derived from Customer Data and Environmental Data that cannot be used to identify you, your farm, or your operations. BlueMarble may use such anonymized data for research, product improvement, benchmarking, and general industry analytics. No anonymized dataset will be reverse-engineered to identify individual participants.
Environmental Data collected by BlueMarble's sensor networks is owned by BlueMarble. However, as a Subscriber, you are granted access to Environmental Data collected within your operational footprint for the duration of your Subscription, subject to these Terms.
Where Services are provided through an agricultural cooperative or multi-party arrangement, data governance, access controls, and sharing permissions will be governed by the applicable cooperative data governance agreement executed between BlueMarble and the cooperative entity. Individual member data will not be shared with other cooperative members without explicit authorization.
Your privacy is important to us. Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.
BlueMarble employs commercially reasonable administrative, technical, and physical safeguards to protect your data, including encryption in transit and at rest, role-based access controls, regular security assessments, and compliance with applicable data protection regulations. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.
You agree not to use the Services to:
BlueMarble reserves the right to investigate violations of these Terms and to take appropriate action, including suspension or termination of access.
The Services, Platform, and all associated technology, software, algorithms, models, documentation, trademarks, logos, and visual design elements are the exclusive property of BlueMarble Weather LLC or its licensors. Nothing in these Terms grants you any right, title, or interest in BlueMarble's intellectual property, except the limited right to use the Services as expressly provided herein.
If you provide suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you grant BlueMarble a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Services or other products without obligation to you.
The Services may integrate with or provide links to third-party platforms, including John Deere Operations Center, AGCO Fuse, Case IH AFS Connect, AgLeader InCommand, Microsoft Azure services, and others. Your use of third-party services is subject to those providers' own terms and privacy policies. BlueMarble is not responsible for the availability, accuracy, or practices of third-party services.
Equipment data connectors are provided on an "as available" basis and depend on the continued availability of third-party APIs. BlueMarble will use commercially reasonable efforts to maintain integrations but cannot guarantee uninterrupted connectivity with third-party systems.
Weather data, forecasts, sensor readings, and analytical outputs are provided for informational and decision-support purposes only. While BlueMarble strives for accuracy, environmental monitoring involves inherent variability and uncertainty. You should not rely solely on the Services for critical decisions without independent verification. BlueMarble does not guarantee the accuracy, completeness, or timeliness of any data, forecast, or recommendation delivered through the Services.
The Services do not constitute professional agricultural, agronomic, financial, insurance, or legal advice. Operational recommendations generated by the Platform are decision-support tools and should be evaluated by qualified professionals in the context of your specific operations, conditions, and risk tolerance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. BLUEMARBLE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLUEMARBLE WEATHER LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, CROPS, YIELD, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
BLUEMARBLE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BLUEMARBLE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, BlueMarble's liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless BlueMarble Weather LLC, its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any dispute between you and a third party related to Customer Data or your use of the Services.
These Terms remain in effect for as long as you use the Services or maintain an active account. Paid Subscriptions continue for the duration of the applicable billing period and automatically renew unless cancelled prior to the renewal date.
You may terminate your account at any time by contacting BlueMarble at the address provided below or through the Platform's account management features. Termination does not entitle you to a refund of prepaid Subscription fees, except as may be provided in a separate written agreement.
BlueMarble may suspend or terminate your access to the Services at any time for material breach of these Terms, non-payment, or if required by law. Where practicable, BlueMarble will provide reasonable prior notice and an opportunity to cure before termination.
Upon termination, your right to use the Services ceases immediately. BlueMarble will make your Customer Data available for export for a period of thirty (30) days following termination, after which BlueMarble may delete your Customer Data from its active systems. Provisions of these Terms that by their nature should survive termination (including Sections 4, 7, 9, 10, 11, 13, and 14) shall survive.
Before initiating formal proceedings, you agree to first contact BlueMarble in writing to attempt to resolve any dispute informally. BlueMarble will endeavor to resolve the dispute within thirty (30) days of receiving your written notice.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws provisions.
Any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Champaign County, Illinois. You consent to the personal jurisdiction and venue of such courts.
Any claim arising under or related to these Terms must be brought within one (1) year after the cause of action accrues, or such claim shall be permanently barred.
These Terms, together with the Privacy Policy and any applicable Subscription agreement or service order, constitute the entire agreement between you and BlueMarble regarding the Services and supersede all prior agreements, understandings, and communications.
BlueMarble may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email notification. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
The failure of BlueMarble to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms without BlueMarble's prior written consent. BlueMarble may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
BlueMarble shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, severe weather events, acts of government, pandemic, internet or telecommunications failures, power outages, equipment malfunction, or acts of third parties.
All notices under these Terms shall be in writing and shall be deemed given when sent by email to the address associated with your account (for notices to you) or to [email protected] (for notices to BlueMarble).
